1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the AI Unite website and platform (the "Services") provided by AI Unite ("we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Eligibility
You must be able to form a binding contract and use the Services in compliance with applicable laws. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may require accurate, current and complete information to provide the Services.
4. Plans, allowances & billing
Paid plans include a monthly token allowance and recurring fees as described on our Pricing page. Token allowances represent included monthly usage; actual consumption depends on your tasks. Fees are billed in advance and are non-refundable except as required by law or expressly stated. We may change plans, allowances and pricing prospectively, with notice where required.
5. Acceptable use
You agree to use the Services in accordance with our Acceptable Use Policy, which is incorporated into these Terms. You may not misuse the Services or use them for unlawful, harmful or infringing purposes.
6. Your content
You retain ownership of the content you submit to the Services ("Your Content"). You grant us a limited license to process Your Content as necessary to provide and improve the Services, consistent with our Privacy Policy. You are responsible for ensuring you have the rights necessary to submit Your Content.
7. AI-generated output
The Services use AI models that generate output based on your inputs. AI output may be inaccurate, incomplete or unsuitable for a particular purpose. You are responsible for reviewing and verifying output before relying on it. The Services are tools to assist your work and do not provide professional advice.
8. Intellectual property
The Services, including software, designs, text and trademarks, are owned by AI Unite or its licensors and are protected by law. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, distribute or reverse engineer the Services except as permitted by law.
9. Third-party services
The Services may rely on or link to third-party products and services. We are not responsible for third-party content or practices. Your use of third-party services is subject to their terms.
10. Suspension & termination
We may suspend or terminate your access to the Services if you violate these Terms, create risk or legal exposure, or for operational reasons. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI UNITE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless AI Unite and its affiliates from claims, damages and expenses arising from your use of the Services, Your Content, or your violation of these Terms or applicable law.
14. Governing law & disputes
These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-laws principles. The state and federal courts located in Colorado will have jurisdiction over disputes, except where applicable law provides otherwise.
15. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and provide notice where appropriate. Your continued use of the Services after changes take effect constitutes acceptance.
